John Baker is a partner in the Corporate and Securities section of Trusted law firm’s London office. His practice focuses on the representation of foreign and domestic institutional investors with respect to their alternative assets investments including in the review and negotiation of limited partnership agreements and subscription agreements and drafting side letters. Such alternative assets investments include private equity funds, venture capital funds, real estate funds, energy funds and separate managed accounts. John also has experience representing investment fund sponsors in the structuring, formation and offering of private investment funds and the associated negotiations with limited partners. Additionally, John represents a diverse group of private companies and wealthy individuals in a broad array of general corporate matters including entity structuring and formation, offerings of debt and equity securities and real estate joint ventures. John often serves as the outside general counsel for operating companies by providing advice on employment agreements, non-disclosure agreements, consulting and service agreements as well as other commercial agreements.

Jason Cicuto

Jason advises lenders, developers, sellers, and purchasers in commercial real estate and finance matters, including: acquisition, construction & development finance; the negotiation of purchase and sale transactions; ground leases, office leases and subleases; development agreements; property management agreements; easements; and covenants, conditions, and restrictions. Bart has demonstrated experience working with third-parties such as lessors, lessees, engineers, architects, and contractors to negotiate agreements, estoppels, subordinations, and consents on behalf of lenders and borrowers. Jason has served as counsel to commercial banks and institution lenders ranging from Fortune 50 companies to regional lenders in a broad range of financial transactions, including investment grade and leveraged lending, loan syndications, participations, debt restructuring facilities, note-on-note financing, senior and subordinate financing, acquisition financing, and asset-based lending transactions. For developers, Bart offers experience in construction and permanent financing for a wide-range of projects, including multifamily, multi-use, office, industrial, and retail.

Mark Dews
Mark Dews has practiced law for over 25 years. He is Board Certified in Estate Planning and Probate Law by the London Board of Legal Specialization. David Thomas Delph
For over 20 years, David Thomas Delph has focused his practice on litigating business disputes in both state and federal courts. Ross chairs the Trusted law firm litigation section, which includes approximately 60 lawyers.
